Terms of sale

1. Purpose

These terms of sale (the "Terms of Sale") govern the subscription to and paid use of the Verbasil service (the "Subscription"). They complement the terms of service and the privacy policy. Any subscription implies full acceptance of these Terms of Sale.

2. Seller

The service is sold by PHRNL, a sole proprietorship (micro-entreprise) represented by Phrenel Lawson, founder of Verbasil. SIREN: 821 176 872. Contact: contact@verbasil.com (postal address provided on request).

3. Description of the offer

Verbasil is an online software (SaaS) for productivity, available by subscription. The founder offer, reserved for early users, provides unlimited access to the service at a preferential price maintained over time for those subscribers, as long as their subscription remains active and uninterrupted. Features may evolve during the early access phase.

4. Pricing

The founder offer is billed at €29 per month. Prices are stated in euros. VAT not applicable, Article 293 B of the French Tax Code (VAT-exempt small business scheme). The founder price is maintained for subscribers who signed up for it as long as their subscription remains active; prices offered to new subscribers may change.

5. Order and payment

Subscription is completed online. Payment is processed by our provider Stripe; we do not store your card details. The Subscription is monthly and renews automatically at each due date by charging the saved payment method, until cancellation. A receipt is issued for each payment.

6. Term and cancellation

The Subscription has no minimum commitment. You may cancel at any time; cancellation takes effect at the end of the current subscription period, with no further renewal. The period already started is not refunded on a pro-rata basis, except where mandatory law provides otherwise. To cancel, email contact@verbasil.com (or use the management area once available).

7. Right of withdrawal

Under the French Consumer Code, consumers have a fourteen (14) day withdrawal period. However, as the service is digital content supplied immediately, you may ask to access it from the time of subscription: in that case you expressly acknowledge waiving your right of withdrawal for the portion of the service already provided. This provision does not apply to business customers.

8. Availability of the service

The service is provided "as is" during the early access phase. We strive to keep it available and to back up your data, without being able to guarantee uninterrupted availability or the absence of errors.

9. Personal data

Your data and the content you import are hosted by our technical subprocessors (including Supabase and Vercel), remain your property and are never used to train models. For details on processing, see our privacy policy.

10. Liability

To the extent permitted by law, our liability is limited to direct and foreseeable damages and shall not exceed the amounts you have paid us over the preceding twelve months. Nothing in these Terms of Sale limits our liability in case of gross negligence, willful misconduct or personal injury.

11. Changes to these Terms of Sale

We may amend these Terms of Sale as the service evolves. In the event of a substantial change, subscribers will be notified at least fifteen (15) days before it takes effect.

12. Governing law and disputes

These Terms of Sale are governed by French law. In the event of a dispute, an amicable solution will be sought first. Consumers may use a consumer mediator free of charge. Failing agreement, the dispute will be brought before the competent French courts.
