Terms of sale

1. Purpose

These terms of sale (the "Terms of Sale") govern the subscription to and paid use of the Verbasil service (the "Subscription"). They complement the terms of service and the privacy policy. Any subscription implies full acceptance of these Terms of Sale.

2. Seller

The service is sold by PHRNL, a sole proprietorship (micro-entreprise) represented by Phrenel Lawson, founder of Verbasil. SIREN: 821 176 872. Contact: contact@verbasil.com (postal address provided on request).

3. Description of the offers

Verbasil is an online software (SaaS) available by subscription. Three offers exist:

Solo: one collective memory and a private space, for a single person.
Team: billed per seat, with multiple memories including restricted ones, invitations, roles and assignment. Each member keeps their own private space.
Founder: an entry offer at a reduced price maintained for life, in limited number, opened by name by Verbasil to selected accounts. It grants the same rights as the Solo offer. Its price is communicated to the account concerned and shown before any subscription. It is neither assignable nor transferable to another organization.

Features may evolve during the early access phase. An Enterprise offer, outside online subscription, is subject to a separate agreement.

4. Pricing

Prices are stated in euros. VAT not applicable, Article 293 B of the French Tax Code (VAT-exempt small business scheme).

Solo: €49 per month, or €490 per year.
Team: €39 per seat per month, or €390 per seat per year, with a minimum of 5 billed seats (i.e. at least €195 per month), regardless of the actual number of members.

As the Founder offer is not open to free subscription, its price is not published here: it is shown to the account it is offered to, on the subscription screen, before any payment.

An annual commitment equals ten monthly payments: two months are free. The Founder price is maintained for subscribers who signed up for it as long as their subscription remains active and uninterrupted; prices offered to new subscribers may change.

5. Seats and changes to the amount billed

On the Team offer, the number of billed seats automatically follows the number of members in your organization, never below the minimum of 5. Inviting an additional member therefore increases the amount due, without further confirmation on your part.Specifically:

Adding a member, monthly subscription: the extra amount is prorated for the remaining time and added to the next invoice.
Adding a member, annual subscription: the extra amount, prorated, is invoiced and charged immediately.
A member leaving: the number of billed seats decreases at the next due date. The period already paid is not refunded or credited.

The organization owner is notified by email of every change in the number of seats. Amounts are itemized on each invoice, available at any time from your management area.

6. Order and payment

Subscription is completed online. Payment is processed by our provider Stripe; we do not store your card details. The Subscription renews automatically at each due date, monthly or annually depending on the plan chosen, by charging the saved payment method, until cancellation. An invoice is issued for each payment.

If a charge fails, Stripe retries. After that, access to paid features may be suspended, without any deletion of your data.

7. Changing offer

You may change offer at any time from your management area. The exact amount is shown to you before confirmation.

To a higher offer: the change takes effect immediately and the prorated difference is invoiced and charged right away.
To a lower offer: the change takes effect immediately and the new price applies from the next invoice. The period already paid is not refunded or credited.
Leaving the Founder offer is permanent: moving from Founder to Team is possible, but the Founder price cannot be recovered afterwards.

Consequence of moving to an offer covering fewer people: members beyond what the new offer covers lose access to the collective memories, and the extra memories are paused. No data is deleted: taking a suitable offer again immediately restores all access and content.

8. Term and cancellation

The Subscription has no minimum commitment. You may cancel at any time, directly from your management area (Settings, "Plan & billing" tab, then "Manage my subscription"), without contacting us. Cancellation takes effect at the end of the current subscription period: you keep access until that date, with no further renewal. The period already started is not refunded on a pro-rata basis, except where mandatory law provides otherwise.

Deleting your account: deleting your account from your settings automatically cancels your Subscription, with immediate effect. As your data is erased in the same action, the service is no longer provided and no further charge occurs. The period already paid is not refunded on a pro-rata basis.

After cancellation, your data is retained and remains accessible within the limits of the free offer; you may request its deletion at any time (see the privacy policy).

9. Right of withdrawal

Under the French Consumer Code, consumers have a fourteen (14) day withdrawal period. However, as the service is digital content supplied immediately, you may ask to access it from the time of subscription: in that case you expressly acknowledge waiving your right of withdrawal for the portion of the service already provided. This provision does not apply to business customers.

10. Availability of the service

The service is provided "as is" during the early access phase. We strive to keep it available and to back up your data, without being able to guarantee uninterrupted availability or the absence of errors.

11. Personal data

Your data and the content you import are hosted by our technical subprocessors (including Supabase and Vercel), remain your property and are never used to train models. For details on processing, see our privacy policy.

12. Liability

To the extent permitted by law, our liability is limited to direct and foreseeable damages and shall not exceed the amounts you have paid us over the preceding twelve months. Nothing in these Terms of Sale limits our liability in case of gross negligence, willful misconduct or personal injury.

13. Changes to these Terms of Sale

We may amend these Terms of Sale as the service evolves. In the event of a substantial change, subscribers will be notified at least fifteen (15) days before it takes effect.

14. Governing law and disputes

These Terms of Sale are governed by French law. In the event of a dispute, an amicable solution will be sought first. Consumers may use a consumer mediator free of charge. Failing agreement, the dispute will be brought before the competent French courts.
